1. INTRODUCTION

Welcome to the Petso ecosystem. These Terms and Conditions (“Terms”) govern your access to and use of:

  • Petso - Digital pet management platform for pet owners
  • Petso Pro - Professional services platform for pet care providers
  • Farmso - Livestock and farm management platform

Collectively referred to as “the Services” or “the Platform”, operated by Petso B.V. (“Petso”, “we”, “us”, or “our”).

By accessing or using any of our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.


2. DEFINITIONS

“Account” - Your registered user profile on any Petso platform
”DID” - Decentralized Identifier created on Solana blockchain
”ZKP” - Zero-Knowledge Proof verification system
”NFT” - Non-Fungible Token representing digital ownership
”E-Passport” - Digital pet travel document
”Professional” - Veterinarians, groomers, walkers, trainers, boarding facilities, or daycare providers
”Owner” - Individual or entity that owns or cares for pets
”Farmer” - Individual or entity managing livestock operations
”Content” - Any data, text, images, videos, or other materials uploaded to the Platform


3. ELIGIBILITY

3.1 Age Requirements

  • You must be at least 18 years old to create an account
  • Accounts for minors (13-17) may be created with parental consent
  • Users under 13 are not permitted to use the Services

3.2 Account Types

  • Petso (Owner): Open to pet owners and caretakers
  • Petso Pro: Requires valid professional credentials and licensing
  • Farmso: Requires valid farm registration or agricultural business documentation

3.3 Geographic Restrictions

Our Services are available globally, but certain features may be restricted based on:

  • Local regulations
  • Blockchain technology availability
  • Payment processing capabilities
  • Professional licensing requirements

4. ACCOUNT REGISTRATION & SECURITY

4.1 Registration

You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information
  • Not impersonate any person or entity
  • Not create multiple accounts without authorization
  • Complete required onboarding processes

4.2 Professional Verification (Petso Pro)

Professionals must:

  • Provide valid professional licenses
  • Submit proof of insurance
  • Verify business registration
  • Maintain active credentials
  • Update expired certifications within 30 days

4.3 Farm Verification (Farmso)

Farmers must:

  • Provide farm registration documents
  • Submit land ownership or lease proof
  • Comply with agricultural regulations
  • Maintain compliance certifications

4.4 Account Security

You are responsible for:

  • Maintaining confidentiality of your password
  • All activities under your account
  • Immediately notifying us of unauthorized access
  • Using strong authentication methods
  • Securing your blockchain wallet credentials

4.5 Multi-Login System

  • You may link multiple login methods (email, social, DID)
  • Each login method must be unique
  • You are responsible for all linked accounts
  • Primary email cannot be changed without verification

5. BLOCKCHAIN & DECENTRALIZED IDENTITY

5.1 DID Creation and Custodial Wallet

  • A pet Decentralized Identifier (DID) may be created on the Solana blockchain for any pet linked to your account. DID creation is optional but recommended for cross-border verification.
  • Custodial wallet model. As part of account creation we provision a Solana wallet for you. Petso holds the corresponding private key encrypted in our backend so that we can sign on-chain actions on your behalf. You do not currently control the private key directly — this is a custodial model. See Section 22 of our Privacy Policy for a full description of the model, the safeguards we apply, the alternatives available (transferring funds to a self-custody wallet, exporting the key where supported, deleting the wallet on account deletion), and the limits of our liability.
  • DID creation and other on-chain operations may incur network fees (“gas”), which are non-refundable.
  • We will use reasonable measures to safeguard your custodial private key, but we are not a credit institution, payment institution, or e-money institution, and the wallet is not covered by any deposit-guarantee scheme.

5.2 Zero-Knowledge Proofs (ZKP)

  • ZKP verification is optional
  • Allows privacy-preserving data sharing
  • You control what data is verified
  • Verification status is publicly visible
  • ZKP setup requires one-time configuration

5.3 NFT Features

  • Pet NFTs are optional digital collectibles
  • NFT minting incurs blockchain fees
  • NFT ownership is recorded on Solana
  • We do not guarantee NFT value
  • NFT transfers follow blockchain standards

5.4 Blockchain Disclaimers

  • Blockchain transactions are irreversible
  • Network congestion may delay transactions
  • Gas fees are variable and non-refundable
  • Smart contract risks are inherent
  • We are not liable for blockchain network issues

7.2 Billing

7.3 Cancellations & Refunds

  • Cancel anytime from account settings

7.4 Professional Payment Processing

  • Professionals receive 85% of service fees
  • Petso retains 15% platform fee

7.5 Price Changes

9. DATA SHARING & PRIVACY CONTROLS

11.3 International Use

12. MICROCHIP LINKING

13. SOCIAL FEATURES & COMMUNITY

Prohibited content includes:

13.3 Moderation

  • We reserve right to remove content
  • Repeat violations may result in suspension

  • AI-assisted moderation may be used

13.4 Reviews & Ratings

  • Reviews must be honest and factual
  • Based on actual experience
  • No incentivized reviews
  • Professionals cannot remove negative reviews
  • False reviews may be removed

14. REWARDS PROGRAM

  • Perpetual license (unless deleted)

15.3 User Rights

You retain ownership of:

  • Your original content
  • Pet photos & videos
  • Personal data

15.4 Trademark Use

  • “Petso”, “Petso Pro”, “Farmso” are trademarks
  • Unauthorized use prohibited
  • Partner branding requires agreement
  • Logo usage guidelines apply

16. PROHIBITED ACTIVITIES

You may not:

  • Violate laws or regulations
  • Infringe intellectual property
  • Transmit viruses or malicious code
  • Scrape or harvest data
  • Reverse engineer the platform
  • Create unauthorized derivative works
  • Interfere with platform operation
  • Impersonate others
  • Use bots or automation (except APIs)
  • Engage in fraudulent activities
  • Sell or transfer accounts
  • Access others’ accounts
  • Bypass security measures
  • Use for illegal purposes

17. THIRD-PARTY SERVICES

19.3 Indemnification

20. DISPUTE RESOLUTION, GOVERNING LAW & JURISDICTION

20.1 Informal Resolution

Before taking any formal action, you agree to first contact us in good faith to try to resolve the dispute. Please email hello@petso.io with a clear description of the dispute and your proposed resolution. We will respond within fourteen (14) days. Both parties will use reasonable efforts to resolve the dispute in good faith within thirty (30) days of our response.

20.2 Governing Law

These Terms are governed by the laws of the Netherlands, without giving effect to any choice-of-law or conflict-of-law rules, and (subject to Section 20.3) without limiting the mandatory consumer-protection rules of any other applicable law.

20.3 Mandatory Consumer Protections (EU/EEA Consumers)

If you are an EU/EEA consumer — a natural person acting outside your trade, business, craft, or profession — then under Regulation (EC) No 593/2008 (Rome I), Article 6, the law of your country of habitual residence applies to the extent it gives you mandatory protections that cannot be derogated from by agreement. Nothing in these Terms reduces those mandatory protections.

20.4 Competent Courts

Subject to Section 20.5 and to your mandatory consumer rights:

  • General rule. The competent court for any dispute arising out of or in connection with these Terms or the Services is the District Court of Amsterdam (Rechtbank Amsterdam), the Netherlands.
  • EU/EEA consumers. Under Regulation (EU) No 1215/2012, Articles 17–19, you may also bring proceedings in the courts of the Member State in which you are domiciled. We may only sue you in those same courts.

20.5 Alternative Dispute Resolution

  • EU Online Dispute Resolution (ODR) platform. If you are an EU consumer, you may submit consumer disputes through the European Commission’s ODR platform at https://ec.europa.eu/consumers/odr. We are not obliged to participate in any specific out-of-court procedure but will consider any submission in good faith.
  • Dutch consumer disputes. Dutch consumers may also be able to escalate certain disputes to the relevant Geschillencommissie (Dutch Foundation for Consumer Complaints Boards) where it has jurisdiction over the subject matter.

20.6 Limitation Period

Unless a longer period is mandatory under your national law, any claim arising from or relating to these Terms or the Services must be brought within two (2) years of the date on which the claim accrued, or it is permanently barred.

20.7 No Mandatory Arbitration; No Class-Action Waiver

We do not require consumers to arbitrate disputes. Nothing in these Terms waives or restricts your right to participate in any class, collective, or representative action available to you under mandatory national law.

20.8 Injunctive Relief

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property, confidential information, or to prevent imminent harm.

Counsel review required: confirm references to Rome I Art. 6 / Brussels I-bis Arts. 17–19 are stated in the form preferred by Dutch counsel, and that no Wft, Wwft, or sector-specific dispute regime should also be cross-referenced.


21. TERMINATION

21.1 Termination by You

31. $PET TOKEN SALE & TOKENOMICS

This section governs your participation in the $PET token sale (the “Token Sale”) and your use of the $PET token. It supplements, but does not replace, the rest of these Terms. In case of conflict with another section in respect of the Token Sale, this section controls.

31.1 Nature of $PET

$PET is a utility token intended for use inside the Petso ecosystem (including rewards, governance, marketplace transactions, and access to platform features). $PET is not:

  • a security, investment contract, or financial instrument;
  • equity, debt, or any claim against Petso B.V.;
  • a deposit, e-money, or other regulated payment instrument;
  • a guarantee of profit or appreciation.

No investment, tax, or legal advice. Nothing in these Terms or in any Petso publication is investment, tax, or legal advice. You are solely responsible for evaluating the suitability and legality of acquiring, holding, using, or disposing of $PET in your jurisdiction.

Counsel review required: confirm the utility-token characterization under EU Regulation 2023/1114 (“MiCA”) once it is fully applicable, and confirm the position under Dutch securities law (Wft) and Dutch consumer credit law.

31.2 Eligibility and Excluded Persons

You may not participate in the Token Sale, and you represent and warrant that you are not:

  • a resident, citizen of, or located in any country or region subject to comprehensive sanctions imposed by the European Union, the United Nations, the United States Office of Foreign Assets Control (OFAC), the United Kingdom, or the Netherlands. As of the Effective Date this list includes (without limitation) Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine, in addition to any other comprehensively sanctioned region as updated from time to time;
  • a “U.S. person” within the meaning of Regulation S under the U.S. Securities Act of 1933;
  • a person listed on any applicable sanctions or restricted-party list;
  • under the age of 18, or under the age of majority in your jurisdiction;
  • otherwise prohibited from purchasing or holding the token under applicable law.

We may, in our sole discretion, restrict or refuse participation by persons in additional jurisdictions at any time without notice.

31.3 KYC and AML

We may be required under the Dutch Anti-Money Laundering and Anti-Terrorist Financing Act (Wet ter voorkoming van witwassen en financieren van terrorisme, “Wwft”) and related EU legislation to perform identity verification (“KYC”) for Token Sale participants. By participating you agree to:

  • provide accurate identity information and supporting documentation on request;
  • permit us, our service providers, or competent authorities to verify the information you provide;
  • cooperate with sanctions and politically-exposed-person (PEP) screening;
  • accept that we may delay, suspend, or cancel your participation if we cannot satisfy our KYC/AML obligations.

31.4 Purchase Mechanics

  • The Token Sale is conducted in stages. Allocations, price, and rules for each stage are published at the relevant Token Sale page on petso.io.
  • Tokens acquired in the Token Sale may be subject to vesting and/or lock-up as described at the Token Sale page.
  • Allocations may initially be reflected in the Petso platform as off-chain balances and delivered to your wallet through claim transactions or airdrops on a schedule set out at the Token Sale page.
  • The payment methods, currencies, and chains accepted will be set out at the Token Sale page. We do not currently use any third-party fiat-to-crypto on-ramp for the Token Sale.

31.5 No Refunds Except Where Required by Law

Once a Token Sale purchase is settled and tokens or token rights are allocated, the purchase is final and non-refundable, except where a non-waivable right of refund applies under your mandatory national consumer law. In particular, under Dutch law (BW Boek 6, Article 230p sub e), the statutory fourteen (14)-day right of withdrawal for distance contracts does not apply to contracts whose price depends on fluctuations in the financial market that we cannot control and that can occur within the withdrawal period.

Counsel review required: confirm the 230p sub e analysis in light of recent Dutch case law and ACM guidance.

31.6 Smart-Contract and Technology Risks

You acknowledge and accept that:

  • the Token Sale and $PET rely on smart contracts on the Solana blockchain (and, where applicable, the Cardano blockchain). Smart contracts may contain bugs, vulnerabilities, or unintended behavior;
  • blockchains may experience congestion, downtime, forks, validator censorship, or other operational issues;
  • $PET transactions are irreversible once confirmed on-chain;
  • network fees (“gas”) are variable, are paid in the relevant base asset, and are non-refundable;
  • the price of $PET is volatile and may decrease to zero;
  • we make no representation or warranty that any specific feature of the Petso ecosystem will be implemented at all, in any specific form, or by any specific date, except where we have made a separate, express written commitment.

31.7 Smart-Contract Administration

Certain Petso smart contracts include administrative keys that allow us to upgrade or pause contracts in defined circumstances (for example, to respond to a critical vulnerability). We will exercise those rights in good faith and in the interest of the Petso ecosystem. We do not guarantee any specific decentralization roadmap unless separately and expressly committed in writing.

31.8 Third-Party Wallets, Bridges, and Exchanges

If you transfer $PET to or from third-party wallets, bridges, custodians, exchanges, or other services, you do so at your own risk. We are not a party to any such transfer and are not responsible for the loss of funds resulting from compromised third-party services, lost or stolen keys (including in self-custody), or user error.

31.9 Tax

You are solely responsible for the determination, payment, and reporting of all taxes arising from your participation in the Token Sale and from your acquisition, holding, use, or disposal of $PET. We may report certain transactions to tax or other competent authorities where required by law (including under EU Directive 2023/2226 (“DAC8”) once applicable).
